Our Policies

Anti-Bribery & Corruption Policy

The Group upholds a strict zero-tolerance policy towards bribery and corruption in any form. We are firmly committed to acting against such misconduct. Employees who decline to offer or accept bribes, or who choose not to engage in corrupt practices, will not face any punishment—even if their decision leads to the loss of business opportunities or unmet performance goals.

Whistleblowing Policy

In support of this commitment and the Group’s dedication to transparency, this policy is designed to offer employees a safe channel to voice concerns about suspected misconduct related to the Group’s operations or management. It also ensures that whistleblowers are protected from retaliation or unfair treatment as a result of coming forward.

Personal Data Protection Policy

The Personal Data Protection Act 2010 of Malaysia (“the Act”) governs the handling of personal data in commercial transactions. In accordance with the Act, the Company is required to inform individuals when their personal data is being collected and processed. This Policy serves as a guideline for managing personal data not only in commercial dealings but also for employment and charitable activities, ensuring full compliance with the Act.

Occupational Safety & Health Policy

The Group is committed to providing a safe, healthy, and conducive working environment for all employees, contractors, and visitors. We strive to prevent workplace injuries and illnesses by complying with all relevant safety and health laws, identifying and managing risks, and promoting a culture of safety awareness and responsibility at all levels of the organization.

Conflict of Interest Policy

The Group is committed to maintaining the highest standards of integrity and transparency. Employees must avoid situations where personal interests conflict, or appear to conflict, with the interests of the Group. All actual or potential conflicts must be disclosed promptly, and decisions must be made in the best interest of the Group without personal bias or gain.

Audit and Risk Management Committee

The Audit and Risk Management Committee (ARMC) plays a key role in supporting the Board in ensuring strong corporate governance, transparent financial reporting, robust internal controls, and effective risk management across the organisation.

Nomination Committee

The Nomination Committee (NC) supports the Board in ensuring effective leadership, strong governance, and a high-performing Board through a structured approach to appointments, evaluations, and succession planning.

Remuneration Committee

The Remuneration Committee (RC) supports the Board in ensuring fair, competitive, and performance-driven remuneration policies for Directors and Senior Management. The Committee aims to attract, retain, and motivate leaders with the right talent and capabilities while upholding transparency and alignment with the Company’s long-term goals.

Board Charter

The Board Charter defines how the Board operates, its responsibilities, and the standards of governance it upholds. It ensures clarity, transparency, and accountability in the Board’s role of guiding the Company’s strategic direction, performance, and long-term success.

Directors’ Fit and Proper Policy

The Directors’ Fit and Proper Policy ensures that individuals appointed to the Board possess the right qualifications, experience, integrity, and competencies to effectively discharge their duties. It provides a structured assessment framework to maintain high standards of leadership, governance, and ethical conduct within the Company.

Dividend Policy

The Dividend Policy outlines the Company’s approach to distributing profits to shareholders, ensuring dividends are paid in a fair, consistent, and sustainable manner. It takes into consideration the Company’s financial performance, cash flow requirements, future growth plans, and overall long-term value creation.
